Terms of Service

These Terms of Service ("Terms") govern your access to and use of Tighro, a residential construction scheduling and trade operations platform operated by Belladrey LLC ("Tighro", "we", "us", or "our"). By creating an account, accessing, or using the service (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

The Service is offered in two primary modes: a builder workspace for residential construction scheduling, and a trade (TradeOps) workspace for trade contractors. Some features connect the two so builders and trades can coordinate work.

2. Accounts and security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use. We are not liable for losses arising from unauthorized use you could have prevented.

3. Plans, billing, and payments

3.1 Builder project credits

Builders may purchase project credits that unlock the creation of live (non-trial) projects. Credits are sold as one-time purchases and are non-refundable except as required by law or expressly stated here. Pricing is shown at the point of purchase.

3.2 Trade Pro subscription

Trade contractors may subscribe to a paid plan ("Pro") billed on a recurring monthly basis. By subscribing you authorize us and our payment processor to charge your payment method on each renewal until you cancel. Subscription fees are non-refundable except as required by law. You may cancel at any time; access continues through the end of the current billing period and does not renew thereafter.

3.3 Free plan and limits

We offer a free plan with usage limits (including storage, number of connected builders, and retained archived jobs). We may change plan limits prospectively. We will use reasonable efforts to notify you of material adverse changes.

3.4 Payment processing

Payments are processed by Stripe, Inc. Your use of payment features is also subject to Stripe's terms. We do not store full payment card numbers.

3.5 Taxes

Fees are exclusive of taxes unless stated. You are responsible for applicable taxes other than taxes on our net income.

4. Referral program

We may offer referral rewards (for example, free months of a paid plan) when you invite another business that subsequently signs up and makes a qualifying paid purchase. Rewards are described at the time of the offer, are not transferable or redeemable for cash, may be subject to verification, and may be modified or discontinued. We may withhold or revoke rewards for abuse, fraud, or violations of these Terms. Sending unsolicited or bulk invitations is prohibited; recipients may opt out of future invitations.

5. Acceptable use

You agree not to:

Use the Service to violate any law or third-party right;
Upload content you lack the right to share, or that is unlawful, infringing, or harmful;
Send spam, harvest contacts, or send invitations to people who have not consented or who have opted out;
Attempt to gain unauthorized access to the Service, other accounts, or related systems;
Interfere with or disrupt the integrity or performance of the Service;
Reverse engineer or resell the Service except as permitted by law.

6. Your content

You retain ownership of the content you upload (including photos, documents, schedules, customer records, and notes) ("Your Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and create technical derivatives (such as compressed image variants and thumbnails) of Your Content solely to operate and improve the Service for you and the parties you choose to share with.

When you connect with a builder or trade and choose to share an item, you authorize us to make that item visible to the connected party. You are responsible for what you choose to share.

7. Data sharing between connected parties

The Service lets builders and trades coordinate. Schedule changes, work order status, and items you mark as shared may be transmitted between connected accounts. Each item has a visibility setting; private items are not shared. You are responsible for configuring visibility appropriately for your business.

8. Service availability and changes

We strive for high availability but do not guarantee the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue features at any time. We may perform maintenance that temporarily limits availability.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or for prolonged inactivity. Upon termination, your right to use the Service ceases. We may delete your data after a reasonable retention period; export your data before terminating if you need it.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that schedules, dates, or coordination features will prevent delays or disputes. You remain responsible for your business decisions.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIGHRO AND BELLADREY LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

12. Indemnification

You will indemnify and hold harmless Tighro and Belladrey LLC from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State in which Belladrey LLC is organized, without regard to conflict-of-laws rules. The exact governing jurisdiction and dispute-resolution venue should be finalized with legal counsel.
